The Corporations Division's schedule of fees and charges sets a change of registered agent, registered office, or both at a flat ten dollars for companies and corporations, one of the smallest such fees anywhere in the country. There is no exit penalty at the state level, no waiting period, and no annual filing window you have to fall inside to do it.

So when the quote finally reaches you, by email or over the phone, you are not cornered. Ten dollars and one form is the price of declining. That reduces an unpublished renewal from a real risk to an inconvenience, and it is the main reason we can write this page without sounding alarmed. Take the free year if it suits you. Just know what your answer costs if the second-year number turns out to be unpleasant.

How Missouri Handles an Inc Authority Handover

The filing is a statement of change, catalogued by the state as Corp. 59. One version of the form serves limited liability companies, for-profit corporations, and nonprofit corporations, and it covers a change of agent, a change of registered office, or both at once. File it with Missouri's Secretary of State, where the Corporations Division handles it, and include the ten-dollar fee.

The form asks for your entity name as filed, the incoming agent, and the Missouri registered office address. That address has to be an actual street address inside the state; a post office box is allowed only in combination with one, never by itself. The instructions also close off the shortcut people reach for when a renewal quote annoys them, which is putting their own company on the agent line. Missouri bars a business from holding the appointment for itself, so the seat goes to a qualifying resident individual or an authorized corporation.

Then the rule that fixes your sequence. The new agent has to sign the statement, or written consent to the appointment has to be attached to it. Nobody is appointed without agreeing first, and because of that, the successor must be engaged before the form can be completed. The correct order is therefore hire, file, confirm, cancel.
