Terms of Service

These Terms of Service ("Terms") govern your use of the website missouriregisteredagent.co (the "Site") and the registered agent services ("Services") we provide as Missouri Registered Agent.co ("we," "us," or "our"). By using the Site or enrolling in Services, you agree to these Terms.

1. What We Provide

Missouri Registered Agent.co provides registered agent services for entities on file with the Missouri Secretary of State, including:

• A physical registered office address in Missouri that satisfies state requirements
• Acceptance of service of process and official correspondence during normal business hours
• Same-business-day scanning and email delivery of documents we receive
• A secure online portal for reviewing and storing your documents
• Compliance alerts if any filing situation affects your entity

2. Eligibility

You must be at least 18 years old and authorized to act for the business entity you enroll. You agree to provide accurate, current information and to update it if anything changes.

3. Pricing

Service is $99 per year, starting on your enrollment date and renewing annually unless you cancel. We may change pricing with at least 30 days' notice before it applies to your next renewal.

4. Payment

We collect payment at enrollment and at each annual renewal. If a renewal payment does not go through, we'll notify you and may suspend Services after 15 days without successful payment.

5. Your Responsibilities

You agree to:

• Provide accurate information about your business entity
• Tell us promptly if your entity name, contact information, or ownership changes
• File any required state paperwork (agent changes, amendments) with the Secretary of State yourself
• Review and act on the documents we scan and send you in a timely manner
• Use our Services only for lawful purposes

6. How We Handle Your Documents

We accept documents at our registered Missouri address during normal business hours. What we receive is scanned and delivered to you electronically, typically the same business day — we don't read, interpret, or act on the contents. Physical originals are held at our office; if you'd like a hard copy mailed to you, that's available for a small per-piece charge and is not part of the flat annual fee. Originals we hold are securely destroyed after a reasonable retention period.

7. We Are Not a Law Firm

Missouri Registered Agent.co does not offer legal advice, tax guidance, or business formation services, and nothing we provide should be treated as professional counsel. Talk to a licensed attorney or accountant for those matters.

8. Limits on Our Liability

To the fullest extent Missouri law allows:

• Our total liability for any claim is capped at the fees you paid us in the preceding 12 months
• We are not liable for indirect, consequential, incidental, special, or punitive damages
• We are not responsible for delays outside our control, including postal disruptions, natural disasters, or system outages
• We are not liable for what happens after we've delivered a scanned document to you, if you don't act on it

9. Indemnification

You agree to indemnify and hold Missouri Registered Agent.co, its owners, employees, and agents harmless from claims, losses, or expenses (including reasonable attorney fees) arising from your use of the Services, a breach of these Terms, or your business activities.

10. Cancellation

You may cancel anytime by emailing support@missouriregisteredagent.co. Cancellation takes effect at the end of your current term, and refunds for unused time are not issued except at our discretion. Before or upon cancelling, you must designate a replacement registered agent with the Secretary of State.

11. Our Right to End Service

We may terminate Services if you breach these Terms, use the Services unlawfully, or fail to pay after notice. We'll give reasonable notice and work with you on transitioning to a new agent.

12. Governing Law

These Terms are governed by the laws of the State of Missouri. Any disputes will be resolved in Missouri state courts.

13. Changes to These Terms

We may revise these Terms from time to time, with updates posted here and a new effective date. Continuing to use our Services after a revision means you accept the updated Terms.

14. Severability

If any part of these Terms is found unenforceable, the remaining provisions stay in effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, make up the full agreement between you and Missouri Registered Agent.co regarding the Services.
